These Terms of Service (“Terms”) govern your access to and use of EduSuite OS and related services (“Service”). By creating an account, signing a subscription, or using the Service in any role, you agree to these Terms.
If you are using the Service on behalf of a school or organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
EduSuite OS is a multi-tenant school management platform covering admissions, academics, attendance, finance, communication, HR, and related campus operations. Each school operates within its own tenant with role-based access for staff, parents, and students.
2. Accounts and Access
- School administrators are responsible for assigning roles and managing access within their tenant.
- You must provide accurate information and keep credentials confidential.
- You are responsible for all activity under your account. Notify us immediately of suspected unauthorized access.
3. Acceptable Use
You agree not to:
- Use the Service to violate any law or third-party right.
- Attempt to disrupt the Service, bypass security controls, or access data outside your role.
- Reverse engineer, scrape, or copy the platform except where permitted by applicable law.
- Upload malware, harmful content, or content that infringes intellectual property.
- Use the Service to send unsolicited communications outside the school's legitimate operations.
4. Subscription and Billing
- Paid subscriptions begin on the start date specified in your order or signup flow.
- Fees are billed in advance and are non-refundable except where required by law or stated in your order.
- We may adjust pricing on renewal with prior notice.
- Government and NGO institutions on the qualifying free program are subject to eligibility verification.
- Promotional rates obtained through promo URLs apply only to the matching plan and remain locked while the subscription is active and in good standing.
5. Data Ownership and Processing
Schools retain ownership of all school operational data they upload. EduSuite OS acts as a data processor for that data and processes it only on instruction from the school. Our handling of personal data is described in the Privacy Policy.
6. Service Availability
We work to keep the Service available and reliable. Planned maintenance is communicated in advance where possible. The Service is provided on a best-effort basis and we do not guarantee uninterrupted operation. Any specific service-level commitments will be set out in your order.
7. Suspension and Termination
- You may cancel a subscription at any time. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate access for breach of these Terms, non-payment, or activity that endangers the platform or other tenants.
- On termination, schools may export their data within a reasonable window before deletion.
8. Intellectual Property
EduSuite OS, its logo, software, and documentation are protected intellectual property of EduSuite OS Technologies. These Terms grant a limited, non-exclusive, non-transferable right to use the Service. No other rights are granted.
9. Disclaimers
The Service is provided “as is” without warranties of any kind to the maximum extent permitted by law. We do not warrant that the Service will be error-free or meet every specific requirement of every school.
10. Limitation of Liability
To the maximum extent permitted by law, EduSuite OS's total liability arising out of or related to the Service is limited to the fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
11. Indemnification
You agree to indemnify EduSuite OS against claims arising from your misuse of the Service or your violation of these Terms or applicable law.
12. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction stated in your contracting entity's order. Disputes will be resolved in the courts of that jurisdiction unless an alternative dispute resolution process is agreed in writing.
13. Changes to These Terms
We may update these Terms as the Service evolves. Material changes will be communicated through the product or the marketing website. Continued use of the Service after changes take effect constitutes acceptance.
